Access, navigation and use of this website, as well as the purchase of products through it, grant the status of user and/or customer, and imply full acceptance of these Terms and Conditions.
2. Purpose
These Terms and Conditions govern the access, use, navigation and contracting of products through the hadoslab.com website, owned by HADOSLAB LLC.
HADOSLAB LLC reserves the right to modify at any time, and without prior notice, the presentation, configuration, content, products, prices, commercial conditions and these Terms and Conditions. The conditions applicable to each purchase will be those in force on the date the order is placed.
Any substantial modification will be communicated on the website at least fifteen (15) days before its entry into force.
3. Minimum age and legal capacity
Access to the website and the placing of orders are reserved exclusively for natural persons over eighteen (18) years of age with full legal capacity, as well as for legal entities legally incorporated and acting through a representative with sufficient capacity.

4. Territorial scope of sale

HADOSLAB LLC reserves the right to reject, limit or cancel orders to certain territories or addresses when there are logistical, regulatory, customs, technical, fiscal or compliance restrictions.
It is the customer's exclusive responsibility to verify that the purchase, importation, possession and use of the requested products is lawful under the regulations applicable in the destination country. HADOSLAB LLC declines all responsibility for the consequences derived from non-compliance with the customer's local regulations.
5. Products and availability
HADOSLAB LLC markets the products shown on its website, subject to actual availability at the time of processing each order.
All product information, including descriptions, images, specifications, presentations, formats, technical data, certificates of analysis and other information visible on the website, is provided for informational purposes only and may be updated or corrected at any time without prior notice.
HADOSLAB LLC reserves the right to withdraw products, modify references, update product sheets or limit quantities per order when deemed appropriate. The inclusion of a product on the website does not guarantee its permanent availability nor the maintenance of a specific price.
In the event of a material error in the description, price or characteristics of a product, HADOSLAB LLC reserves the right to cancel the affected order and refund any amount paid by the customer, without giving rise to any additional compensation.
6. RESEARCH USE ONLY — NOT FOR HUMAN CONSUMPTION
This clause constitutes an essential condition of the contract.
All products offered on this website are supplied EXCLUSIVELY for in vitro scientific research purposes.
By placing an order, the customer acknowledges, declares and expressly accepts that:
- The products are not intended for human consumption, medical use, therapeutic use, veterinary use, injection in humans or animals, ingestion, topical application for cosmetic purposes, or for diagnostic purposes.
- The products are intended solely and exclusively for laboratory purposes, biochemical analysis, scientific education or experimental in vitro research.
- The customer is the sole and exclusive responsible party for verifying that the purchase, possession, importation, handling and use of the products is legal in the destination country's jurisdiction.
- The customer will not use, will not resell, will not relabel, will not market and will not present the products as suitable for human consumption, clinical use, medical use, veterinary use or any other unauthorized use.
- HADOSLAB LLC does not declare or guarantee that the products are approved by the EMA, FDA, AEMPS or any other competent health authority for human or animal use.
- The products have not been evaluated as medicines, medical devices, cosmetics, food supplements or veterinary products.
- Any use other than strictly declared in vitro research will be the sole responsibility of the customer, releasing HADOSLAB LLC from all civil, criminal or administrative liability arising therefrom.
HADOSLAB LLC reserves the right to reject or cancel any order when there are reasonable indications that the products may be used in a manner contrary to these Conditions or to the applicable regulations.
7. Prices
All prices shown on the website will be those indicated at any given time for each product and will be expressed in euros (€).
Prices include applicable taxes at the time of sale, unless expressly stated otherwise. They do not include shipping costs, which will be calculated and displayed separately before finalizing the order.
Orders shipped to countries outside the European Union may be subject to customs duties, import taxes or additional charges that will be borne exclusively by the customer and are not included in the displayed price.
Before completing the purchase, the customer will be able to view the complete order summary with the itemized economic detail, including products, shipping costs and final total.
HADOSLAB LLC reserves the right to modify prices at any time, although such modifications will not affect orders already confirmed and validated.
8. Purchase process
To place an order, the customer must follow the purchase procedure enabled on the website, providing the required information in a complete, truthful and updated manner.

- That the customer meets the age and legal capacity requirements established in clause 3.
Once the order has been placed, the customer will receive a confirmation communication by email with the purchase details.
HADOSLAB LLC reserves the right not to accept, suspend or cancel orders in case of error in the data provided, payment incidents, suspicion of fraud, indications of money laundering, breach of these conditions or any other reasonable circumstance.
9. Payment methods
Payment of orders may be made through the payment methods enabled in the online store at any given time.
Currently, the available payment methods are:

- Bank transfer
The order will not be considered confirmed until the payment has been correctly received or validated, as appropriate. For bank transfer payments, the maximum credit period is five (5) business days from the placement of the order. After this period without receipt of payment, the order may be automatically canceled.
HADOSLAB LLC reserves the right to modify, limit or eliminate available payment methods at any time, as well as to request additional verification on high-value orders for fraud prevention reasons and compliance with anti-money laundering regulations.
10. Shipping and delivery
The specific conditions related to shipping, delivery times, transport costs and coverage areas are governed by the Shipping Policy, which forms an integral part of these Terms and Conditions.
The customer must read this policy before formalizing any order.
Pickup at carrier office: in those cases where the shipment must be picked up by the customer at a carrier office, the customer will have a maximum period of three (3) calendar days from the notification of availability to make the pickup. After this period without the pickup having taken place, the order will be returned to HADOSLAB LLC. The costs of subsequent reshipment, if requested, will be borne by the customer.
Storage after delivery: once the package has been received, it is the exclusive responsibility of the customer to store the products under the indicated refrigeration conditions (between 2°C and 8°C). Products that have not been preserved according to the storage instructions published on the website may not be subject to return, refund or subsequent claim, given that the integrity of the compound cannot be guaranteed outside the cold chain.
11. Right of withdrawal and applicable exceptions
In accordance with article 16 of Directive 2011/83/EU of the European Parliament and of the Council, and the corresponding national transposition regulations, the right of withdrawal does NOT apply to the products marketed by HADOSLAB LLC for the following reasons:
- Products with strict cold chain: the peptide compounds offered require uninterrupted storage between 2°C and 8°C. Once dispatched, they cannot be returned to the commercial circuit due to the impossibility of guaranteeing cold chain traceability during the return period.
- Sealed products for reasons of health or hygiene protection: sealed pens that have been unsealed after delivery are not eligible for return (article 16.e of Directive 2011/83/EU).
- Products made according to customer specifications or clearly personalized: each batch is prepared and reconstituted specifically for the customer at the time of the order (article 16.c of Directive 2011/83/EU).
Notwithstanding the above, the specific conditions related to possible refunds for other reasons (defective products, shipping errors, damage during transport, etc.) are governed by the Refund Policy, which forms an integral part of these Terms and Conditions.
The customer expressly acknowledges having been informed of the inapplicability of the right of withdrawal before formalizing the order, as required by European regulations.
12. Legal warranties
The products marketed by HADOSLAB LLC are offered exclusively under the research use only category and not as consumer goods within the meaning of Directive 2019/771/EU.
The products, content and services available on the website are provided "as is" and "as available", without warranties of any kind, whether express or implied, except those that are mandatory under applicable law.
However, HADOSLAB LLC guarantees that each product delivered:
- Matches the technical description published on the website.
- Complies with the purity specifications indicated in the corresponding batch Certificate of Analysis (COA).
- Has been transported under controlled cold chain.
- Arrives in optimal physical condition, without visible damage or signs of degradation.
In the event that the customer detects a discrepancy with these guarantees, they must communicate it to HADOSLAB LLC within a maximum period of forty-eight (48) hours from the receipt of the order, in accordance with the procedure established in the Refund Policy.
Warranties relating to therapeutic efficacy, suitability for human or veterinary use, or any other use other than the strictly declared in vitro research are expressly excluded.
13. Customer obligations
The customer expressly undertakes to:
- Use the website and its contents in accordance with the law, good faith, public order and these Terms and Conditions.
- Provide truthful, complete and updated information during the purchase process.
- Not purchase the products for unlawful, prohibited, fraudulent purposes or incompatible with their condition as products intended exclusively for in vitro research.
- Not resell, redistribute, promote or market the products for human consumption, medical use, veterinary use or any unauthorized use.
- Not use the products in activities regulated by anti-doping organizations (WADA, etc.) in competitive contexts.
- Maintain the confidentiality of their access credentials to the website, where applicable.
- Immediately notify any unauthorized use of their account or payment method.
Failure to comply with these obligations may result in the immediate cancellation of the order, limitation or blocking of access to the website, and the exercise of the corresponding legal actions.
14. Intellectual and industrial property

17. Liability and limitation

HADOSLAB LLC will not be liable, to the maximum extent permitted by applicable law, for:
- Indirect damages, consequential damages, loss of profits, loss of data, loss of opportunity, moral damages or any losses derived from the use of the website or the products.
- The improper, illegal or contrary use of the products by the customer in breach of these Conditions.

In any case, the financial liability of HADOSLAB LLC will be limited, to the maximum extent permitted by applicable regulations, to the amount actually paid by the customer in relation to the specific order from which the eventual claim arises.
This limitation does not affect the mandatory rights that applicable legislation recognizes to the customer as a consumer, where applicable.

The website may contain links to third-party pages, platforms, social networks or resources (scientific studies, databases, social networks, payment platforms, etc.).

19. Force majeure
HADOSLAB LLC will not be liable for the breach or delay in the fulfillment of its obligations when this is due to causes beyond its reasonable control, including, among others:

- Administrative, customs or regulatory restrictions.

21. Partial nullity
If any of the clauses of these Terms and Conditions is declared null, invalid or inapplicable by a competent authority, this circumstance will not affect the validity of the rest of the provisions, which will remain in full force and effect.
The affected clause will be replaced or reinterpreted in the sense closest to the original will of the parties and to the applicable regulations.

Customers who have the status of consumer can use this platform to submit any dispute derived from the online purchase.
23. Applicable legislation and jurisdiction
These Terms and Conditions will be interpreted and governed under the following regime:
For customers acting as consumers residing in the European Union: the legislation of the consumer's habitual country of residence will apply, in accordance with the provisions of Regulation (EC) 593/2008 on the law applicable to contractual obligations (Rome I) and other applicable European regulations.
For customers acting as professionals or companies: the legislation of the state of Wyoming, United States, will apply, with both parties submitting to the exclusive jurisdiction of the competent courts of said state, expressly waiving any other jurisdiction that may correspond to them.
In any case, the mandatory rights recognized to consumers by the regulations of their country of residence will prevail over any provision of these Terms and Conditions that may be contradictory.
